NOTICE IS HEREBY GIVEN TO HOLDERS OF THE NOTES THAT:

1. Background

1.1 All terms used but not defined herein shall bear the meanings (if any) given to them in schedule 1 (Master Definitions Schedule) to the incorporated terms memorandum dated 1 July 2025 as entered into between, among others, the Issuer, the Trustee and the Seller (the "Incorporated Terms Memorandum").

1.2 On 1 July 2025, the Issuer entered into a collection accounts declaration of trust with Newcastle Building Society (as Newcastle, the Collection Account Holder, the Seller and the Servicer) and the Trustee (the "Original Collection Accounts Declaration of Trust"). The Collection Account Holder has now determined and notified to the Issuer, and the Issuer has notified the Trustee, that certain inaccuracies in the account numbers provided at the time of preparation of the Original Collection Accounts Declaration of Trust has led to certain errors in the Original Collection Accounts Declaration of Trust.

2. Termination of the Original Collection Account Declaration of Trust

2.1 To correct the errors described in Paragraph 1.2 above and make certain other consequential provisions, on 2 July 2026:

(a) the Original Collection Account Declaration of Trust was terminated pursuant to a deed of termination between the Issuer, Newcastle Building Society (as Newcastle, the Collection Account Holder, the Seller and the Servicer) and the Trustee (the "Deed of Termination") with effect from the date specified therein; and

(b) the Issuer entered into a new collection accounts declaration of trust with, among others, Newcastle Building Society (as Newcastle, the Collection Account Holder, the Seller and the Servicer) and the Trustee (the "New Collection Accounts Declaration of Trust"). Pursuant to the New Collection Accounts Declaration of Trust, the Collection Account Holder declared a trust over the Collection Account and the Sub-Collection Account for the benefit of the beneficiaries set out therein, including, without limitation, the Issuer, on the terms set out in the New Collection Accounts Declaration of Trust. As continuing security for the payment or discharge of the Secured Obligations, the Issuer has assigned absolutely the Benefit under the New Collection Accounts Declaration of Trust to the Trustee itself and on trust for the other Secured Creditors subject to and in accordance with the Deed of Charge.
